By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

SnapAI provides artificial intelligence solutions and services including but not limited to:

• Supply Chain Optimization solutions
• Financial Services and Anti-Fraud systems
• Retail and Consumer Goods analytics

• Intelligent Operation Automation
• Custom AI development and consulting services

Our services are provided through our development centers in Malaysia and Vietnam, ensuring cost-effective and high-quality AI solutions.

3. User Responsibilities

You retain ownership of your data and content. By using our services, you grant us a limited license to use your data solely for the purpose of providing our AI solutions and services to you.

4.3 Custom Solutions

For custom AI solutions developed specifically for your organization, ownership and licensing terms will be outlined in a separate service agreement.

5. Data and Privacy

Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. We are committed to:

EXCEPT AS EXPRESSLY SET FORTH HEREIN, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

7.3 AI Performance

While we strive to provide accurate and effective AI solutions, we cannot guarantee specific performance metrics or outcomes. AI performance may vary based on data quality, implementation, and external factors.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SNAPAI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless SnapAI and our officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of our services in violation of these Terms
• Your data or content that infringes third-party rights
• Your negligent or wrongful acts or omissions

10. Termination

10.1 Termination by Either Party

Either party may terminate these Terms or any service agreement with thirty (30) days written notice.

10.2 Termination for Cause

Either party may terminate immediately if the other party materially breaches these Terms and fails to cure such breach within thirty (30) days of written notice.

10.3 Effect of Termination

Upon termination, we will cease providing services and may delete your data in accordance with our data retention policies, unless otherwise required by law.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to conflict of law principles.

11.2 Dispute Resolution

Any disputes arising out of or relating to these Terms shall be resolved through binding arbitration in Singapore in accordance with the Arbitration Rules of the Singapore International Arbitration Centre.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after such modifications constitutes acceptance of the modified Terms.
